1. Acceptance of Terms

By accessing and using this platform, you accept and agree to be bound by the terms and conditions of this agreement. If you do not agree to abide by the terms of this agreement, do not use or access our services.

2. Platform Description

FreshXChange is a B2B marketplace that connects verified producers of fresh produce with commercial buyers. Our platform facilitates the sourcing, ordering, and logistics of bulk fresh produce for international trade.

3. User Accounts

When you create an account with us, you guarantee that the information you provide is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on our platform.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to restricting access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password.

4. Producer Verification

All producers on our platform undergo a verification process. While we make reasonable efforts to verify the credentials and quality of producers, we do not guarantee or warrant the quality, safety, or legality of products offered, the truth or accuracy of producers' content or listings, or the ability of producers to fulfill orders.

5. Order Process

Orders placed through our platform constitute a legally binding agreement between the buyer and the producer. FreshXChange acts as a facilitator and is not a party to the transaction between buyers and producers.

Buyers are responsible for providing accurate shipping and delivery information. Producers are responsible for fulfilling orders as specified, including meeting quality standards, packaging requirements, and delivery timelines.

6. Fees and Payments

FreshXChange charges service fees for the use of our platform. These fees are clearly communicated during the registration process and before any transaction is completed.

Payment processing is handled through secure third-party payment processors. FreshXChange does not store credit card information directly.

7. Shipping and Logistics

Shipping arrangements and costs are typically the responsibility of the parties involved in the transaction, as specified in the order details. FreshXChange may provide logistics support services for an additional fee.

8. Dispute Resolution

In the event of a dispute between a buyer and a producer, FreshXChange will make reasonable efforts to facilitate a resolution. However, we are not responsible for resolving disputes between users.

9. Intellectual Property

The FreshXChange platform, including its content, features, and functionality, is owned by FreshXChange and is protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

10. Limitation of Liability

In no event shall FreshXChange, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the platform.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of any changes by updating the "Last updated" date at the top of this page.
